Terms and Conditions

Welcome to Turboline LTD (“we”, “our”, or “us”). These Terms and Conditions (“Terms”) govern your access to and use of our software-as-a-service (SaaS) platform, API services, website, and any other related services (collectively, the “Services”), including those made available via the Microsoft Azure Cloud Marketplace. By accessing or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Services Description

We provide:

  • A SaaS-based AI Data Query Studio that enables natural language and structured querying of datasets.
  • API Services to integrate AI capabilities into your own applications.
  • Marketplace Access via the Microsoft Azure Cloud Marketplace, allowing you to subscribe and deploy our services directly through your Azure account.

Your use of our services via the Azure Marketplace is also subject to Microsoft’s terms and conditions, including but not limited to the Azure Marketplace Publisher Agreement and Customer Agreement.

3. User Accounts

To use certain features, including via Azure Marketplace, you may need to create an account with us or sign in using your Microsoft account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

4. License and Restrictions

Subject to compliance with these Terms:

  • You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services, whether directly or via the Azure Marketplace.
  • You must not reverse engineer, resell, sublicense, or redistribute the Services unless explicitly permitted in a separate agreement.

5. Data Use & Privacy

By using the Services, including through Azure Marketplace, you agree that we may process, store, and analyze data as needed to operate, enhance, and secure the Services.

Data is handled in accordance with our Privacy Policy and complies with the UK GDPR. Microsoft may also process data as a separate controller; please refer to Microsoft’s privacy terms when using our services via Azure.

6. API Usage

If you use our API:

  • You must follow our documentation and usage guidelines.
  • Unauthorized use, abuse of rate limits, or use of an API key not associated with your account may lead to suspension.
  • We reserve the right to limit or revoke your access at our discretion.

7. Marketplace Billing

If you subscribe via the Azure Cloud Marketplace:

  • Your billing relationship is with Microsoft.
  • Microsoft will collect payments on our behalf based on the plan you choose.
  • You are responsible for managing your Azure subscriptions, usage limits, and renewals via your Azure account dashboard.

8. Direct Billing

For services purchased directly from us (outside the Azure Marketplace), pricing, subscription plans, and usage limits (including query limits) are clearly outlined on our Pricing Page.

You agree to pay all applicable fees associated with the plan you select. Charges may be based on subscription tier, volume of queries, API calls, storage, or other measurable use of the Services.

It is your responsibility to:

  • Monitor your usage and ensure it stays within the limits of your selected plan.
  • Upgrade your plan if additional capacity or features are needed.
  • Keep your payment information up to date to avoid service interruptions.

Failure to make timely payments may result in suspension or termination of your access to the Services.

9. Cancellations and Refunds

  1. Cancellations:
    You may cancel your subscription at any time during your billing cycle. If you cancel:
    • You will be charged for the full month, and you will continue to have access to the paid product until the end of the billing cycle.
    • Example: If your billing cycle starts on March 1st and you cancel on March 5th, you will be charged for the full month of March and have access until March 31st.
  2. Refunds:
    We do not provide refunds on products purchased. Customers can cancel their subscription at any time during the billing cycle according to canceling policy listed on 9.1. above.

10. Upgrade & Downgrade

  1. Upgrades:
    Customers can upgrade to a higher subscription tier at any time during their billing cycle. The upgrade will take effect immediately, and the new billing will be prorated based on the remaining time in your current cycle.
  2. Downgrades:
    Customers can downgrade their subscription at any time during their billing cycle. If the downgrade occurs within the first 15 days of the billing cycle, the customer will receive a full refund for the difference between the previous and downgraded subscription tier.
    If the downgrade occurs after the first 15 days of the billing cycle, the customer will be billed in full for the current cycle, and no refund will be issued.

11. Intellectual Property

We (or our licensors) retain all rights, title, and interest in and to the software, algorithms, designs, documentation, and other materials associated with the Services. You may not copy, reproduce, or create derivative works without our explicit written consent.

12. Service Availability

We strive to ensure high uptime and reliability of our platform, including services deployed through Microsoft Azure infrastructure. However, we do not guarantee uninterrupted access or availability and may suspend access for maintenance or system updates.

13. Disclaimers

The Services, including our Generative AI product, are provided “as is” without any warranties or guarantees of accuracy, completeness, or reliability. We make no representations regarding the correctness, quality, or fitness for a particular purpose of the outputs generated by our AI.

Generative AI Limitations:

  • Accuracy of Outputs: While we strive to provide helpful, informative, and relevant results, the answers and recommendations generated by our AI may not always be accurate, complete, or up-to-date. Users should independently verify any AI-generated content or insights before making decisions based on them.
  • AI and Human Oversight: The AI product is designed to assist and augment human decision-making. However, it should not be used as a sole resource for critical business, legal, medical, or other high-stakes decisions. Users are encouraged to exercise caution and judgment when interpreting AI-generated responses.
  • Bias and Incomplete Data: The commercial AI models we use are trained on large datasets, the outputs may reflect inherent biases or limitations of the underlying data. Additionally, some responses may be based on incomplete or outdated information.
  • No Liability for Inaccuracies: We do not guarantee that the AI outputs will be error-free, and we are not liable for any damages, losses, or consequences arising from the use of inaccurate, misleading, or incomplete information generated by the AI product.

By using our Services, you acknowledge and accept these limitations and agree that you will not rely solely on AI-generated results for making critical decisions or taking actions that could result in significant consequences.

14. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for any indirect, incidental, consequential, or special damages, including loss of profits or data.
  • Our total liability for any claim related to the Services will not exceed the amount you paid us (or through Azure) in the twelve (12) months prior to the event giving rise to the claim.

15. Indemnification

You agree to indemnify and hold harmless Turboline LTD, its directors, officers, employees, and affiliates from any claims, damages, or losses arising out of your use of the Services, violation of these Terms, or infringement of any third-party rights.

16. Termination

We may suspend or terminate your access to the Services at any time and without notice if you breach these Terms. You may also cancel your subscription through your account dashboard or via your Azure portal (if subscribed through Azure).

Upon termination, your access to Services will be deactivated and your data may be deleted, subject to any retention requirements in our Privacy Policy or applicable law.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

18. Changes to Terms

We may modify these Terms from time to time. If changes are significant, we will notify you via email, platform notifications, or through Azure. Your continued use of the Services after such updates constitutes your acceptance of the revised Terms.
